No refunds will be issued on the basis of not having read or understood these Terms.

Bayls & Ko provides digital marketing, website design, branding, social media management, content creation, photography, videography, podcast services, and influencer campaign management.

All services are rendered according to approved proposals, quotations, invoices, or written agreements. Scope, timelines, and deliverables are defined per project.

5. Client Responsibilities

Clients agree to:

• Provide accurate and complete information

• Supply content, approvals, and feedback within agreed timelines

• Ensure they have legal rights to all materials supplied

• Obtain consent from any third parties featured in content

Bayls & Ko is not responsible for delays caused by missing information or approvals.

6. Content Creation, Photography & Videography

6.1 Consent & Participation

By participating in or commissioning photography, videography, podcasting, or content creation, you confirm that:

• You have authority to appear in and approve the content

• Any third parties featured have granted consent

• Content may include your image, likeness, voice, brand, or premises

6.2 Usage of Created Content

Unless otherwise agreed in writing, you grant Bayls & Ko the irrevocable, royalty-free right to use any content created for you for the following purposes:

• Marketing and promotional activities

• Display on the Bayls & Ko website

• Portfolio use

• Social media, digital platforms, and advertising

Content will never be used in a misleading, defamatory, or unlawful manner.

If a client wishes to restrict usage, this must be requested in writing prior to project commencement.

7. Influencer Campaigns

Influencer campaigns are subject to availability, platform rules, and third-party cooperation. Bayls & Ko does not guarantee performance metrics such as reach, engagement, or sales.

We are not liable for influencer non-performance but will make reasonable efforts to manage campaigns professionally.

8. Intellectual Property & Copyright

8.1 Ownership

All concepts, strategies, designs, content, templates, visuals, and materials created by Bayls & Ko remain the intellectual property of Bayls & Ko until full payment has been received.

8.2 Client Licence

Upon full payment, clients receive a limited licence to use final deliverables for agreed marketing and business purposes only.

Clients may not:

• Resell or redistribute content

• Claim ownership or authorship

• Remove branding or credits where applicable

• Copy or adapt concepts for third-party use

9. Website Copyright & Legal Enforcement

All content on the Bayls & Ko website is protected by South African copyright law.

Any unauthorised use, copying, imitation, or reproduction of our website content, branding, or intellectual property may result in legal action, including claims for damages and legal costs.

10. Payment Terms

• All invoices are payable as per the issued invoice or quotation

• Deposits are non-refundable unless otherwise stated

• Late payments may result in paused services or withheld deliverables

• Prices exclude VAT unless stated otherwise

11. Cancellations & Termination

Either party may terminate services with written notice. Clients remain liable for:

• All work completed up to the termination date

• Any costs incurred

No refunds will be issued for completed or in-progress work.

12. Limitation of Liability

To the fullest extent permitted by South African law:

• Bayls & Ko is not liable for indirect, consequential, or loss-of-profit damages

• No specific results, sales, or engagement outcomes are guaranteed

• Liability is limited to the value of services paid

14. Governing Law
